1. What VendorScout is
VendorScout helps pop-up vendors find farmers markets, flea markets, fairs, festivals and other events that are accepting vendors, and helps market organizers find vendors. It includes searching and organizing publicly available information about vendor opportunities, lead matching, alerts, local market news, application tools, business and organizer profiles, team accounts and reviews. VendorScout is a technology service. We are not an event organizer, a booking agent, an employer, or a party to any agreement between a vendor and an organizer, and we do not guarantee that any vendor will be accepted or that any event will take place.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract. VendorScout is intended for business use.
- Give accurate information and keep it up to date. Keep your password secure; you are responsible for activity under your account. Tell us promptly at support@distinctdevelopers.com if you believe your account has been compromised.
- A business or organizer account (“organization”) can have several members. Organization admins control its settings, members, plan and content, and are responsible for the people they invite. Members can see the organization's leads, applications, documents and other shared information.
- Platform administrators may verify organizers, review claims, and moderate content as described in these Terms.
3. Listings and accuracy
Many listings are found automatically on public websites, news and search results and summarized with the help of software, including AI. They may be incomplete, out of date or wrong. Dates marked “listed” were found in the source text; “estimated” dates were not. Distances, fit scores, labels and summaries are estimates. Always confirm details, deadlines, fees, requirements and eligibility directly with the organizer before relying on them or paying anything.A listing found on the web does not mean the organizer endorses or works with VendorScout. Market news links to articles published by third parties, which are responsible for their content.
If you are an organizer and want a discovered listing corrected, claimed or removed, contact us or use the claim feature.
4. Organizers
- Organizers may post listings, take applications through VendorScout, and claim listings we discovered. Posting is currently free.
- You may only post or claim events you are authorized to represent. Listings must be truthful and lawful, including fees, dates, requirements and selection criteria, and must not discriminate unlawfully.
- A “verified organizer” badge means we reviewed evidence that you run the market; it is not an endorsement or a guarantee about your events. We may remove a badge, reject a claim, or edit or remove a listing at our discretion.
- Organizers are solely responsible for their events, for decisions on applications, for the permits, insurance and safety of their events, and for any fees they charge vendors. Information vendors share with you through VendorScout may be used only to evaluate and administer their participation in your events, and you must protect it and comply with applicable privacy laws.
5. Applications
When you apply through VendorScout, we send the organizer your business profile, your answers and the documents you choose to attach. Private booth notes are not shared. Organizers decide whether to accept, waitlist or decline; we are not responsible for their decisions, communications, events or any fees or refunds between you and them. You can withdraw an application, which ends the organizer's access to documents attached to it through VendorScout (copies they already downloaded are their responsibility).
6. Reviews
- Vendors accepted to an organizer's listing may review that organizer after the event starts. Reviews must reflect your genuine experience. Do not post reviews that are false, paid for, written about your own organization or a competitor, abusive, or that reveal anyone's private information.
- Organizers may reply publicly. Do not offer incentives in exchange for reviews or retaliate against reviewers.
- We may hide or remove reviews and replies that break these rules, but we do not verify every review and are not responsible for opinions users express.
7. Your content
“Your content” means what you or your organization add: profile details, logos, photos, products, listings, answers, messages, documents and reviews. You keep ownership of it. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and share your content as needed to operate, improve and promote VendorScout as you direct (for example, showing a public page you turned on, or sending an application to an organizer). For public pages, listings and reviews, this license lasts while the content is published and for a reasonable time afterwards for backups and records. You confirm you have the rights to your content and that it does not violate the law or anyone's rights.
8. Documents and permits
You can store business documents such as licenses, permits and insurance certificates. You are responsible for their accuracy, validity and for keeping them current; expiry reminders are a convenience only. We do not verify documents, and nothing on VendorScout is legal, tax, insurance or regulatory advice. You are responsible for obtaining every license, permit and insurance your business and each event require.
9. Plans, billing and cancellation
- Free. Some features are free. We may change what the Free plan includes.
- Paid plans. Paid plans such as VendorScout Plus are subscriptions for an organization, at the price and billing period (monthly or yearly) shown on our Pricing page when you subscribe, in US dollars plus any applicable taxes, billed in advance each period through our payment processor, Stripe. A subscription renews automatically at the end of each period until you cancel. By subscribing you authorize us and Stripe to charge your payment method each period.
- Cancelling. Organization admins can cancel any time in Business → Plan → Manage billing. Cancellation takes effect at the end of the current billing period, and Plus stays active until then. Payments are non-refundable and we do not give refunds or credits for partial months, except where the law requires otherwise or we decide to in a particular case.
- Price changes. We will tell you by email or in VendorScout at least 30 days before a price change applies to you, and you can cancel before it takes effect.
- Failed payments. If a payment fails, Plus may continue for a short grace period and then revert to Free.
- Complimentary or promotional plans may be offered at our discretion and can end when stated.
- Plus features depend on third-party sources (such as search engines and websites) and we do not guarantee any number of leads or results.
10. Acceptable use
Do not, and do not help anyone else to:
- break the law, infringe others' rights, or post false, misleading, defamatory, hateful, harassing or sexually explicit content;
- impersonate anyone, post or claim events you don't represent, or misrepresent your business, products or documents;
- send spam or unsolicited messages, or use contact details found on VendorScout for marketing without consent;
- scrape, crawl, copy or resell VendorScout data or listings in bulk, or build a competing database from it, except through features we provide;
- access accounts or data that aren't yours, probe or break our security, overload our systems, or reverse engineer the service;
- upload malware, or files containing others' personal or sensitive information that you aren't authorized to share;
- get around plan limits, cooldowns or other technical restrictions.
11. Third-party services and links
VendorScout links to and relies on websites and services we don't control, including organizers' sites, news publishers, search providers, maps data (OpenStreetMap contributors), email and payment providers. We are not responsible for them, and your use of them is governed by their own terms and policies.
12. Our property and feedback
VendorScout, its software, design, branding and the way we compile and present information belong to Distinct. Developers and its licensors. We give you a limited, non-transferable right to use VendorScout under these Terms. If you send us ideas or feedback, we may use them without obligation to you.
13. Copyright complaints
If you believe content on VendorScout infringes your copyright, email support@distinctdevelopers.com with: your contact details; a description of the work; the URL or location of the material; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove the material and, where appropriate, terminate repeat infringers' accounts.
14. Suspension and termination
You can stop using VendorScout and delete your account at any time in Account settings. We may suspend or end your access, or remove content, if you break these Terms, create risk or legal exposure for us or others, or if we stop offering the service; where reasonable we will tell you first. If we end a paid plan for reasons other than your breach, we will refund the unused part of the current period. Sections that by their nature should survive termination (including 7, 12 and 15–20) survive.
15. Disclaimers
VENDORSCOUT IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT LISTINGS, DATES, SUMMARIES, MATCHES OR OTHER INFORMATION ARE ACCURATE, COMPLETE OR CURRENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR EVENTS, ORGANIZERS, VENDORS OR OTHER USERS, OR FOR ANY DEALINGS BETWEEN THEM.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DISTINCT. DEVELOPERS AND ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITIES (INCLUDING MISSED DEADLINES OR EVENTS), ARISING FROM OR RELATED TO VENDORSCOUT, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO VENDORSCOUT IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $50. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT ALL APPLY TO YOU.
17. Indemnity
To the extent permitted by law, you will defend and indemnify Distinct. Developers against claims, losses and expenses (including reasonable attorneys' fees) arising from your content, your events or business, your dealings with other users, or your breach of these Terms or the law.
18. Disputes and governing law
Please contact us first at support@distinctdevelopers.com; most concerns can be resolved quickly. If we can't resolve a dispute within 30 days, it will be decided exclusively by the state or federal courts located in the State of Florida, and you and we consent to their jurisdiction, except that either of us may bring an individual claim in small-claims court where it qualifies. These Terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-law rules. To the extent permitted by law, claims must be brought individually, not as part of a class or representative action.
19. Changes
We may update these Terms. For material changes we will give notice by email or in VendorScout before they take effect. Continuing to use VendorScout after the effective date means you accept the updated Terms; if you don't agree, stop using VendorScout and cancel any paid plan.
20. General
These Terms and the Privacy Policy are the entire agreement between you and us about VendorScout. If any part is unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition or sale of assets. We are not liable for delays caused by events beyond our reasonable control. You agree we may send you notices and records electronically, including by email.
